2. Eligibility
You may use Claditly only if:

If you use Claditly on behalf of an organization, you represent that you have authority to act for that organization.

Claditly may organize customer activity into Workspaces and Projects.
A Workspace represents a customer environment.
Projects may represent organizations, brands, clients, websites, advertising operations, or other logical units selected by the user.
Users are responsible for ensuring they have authority to process information and connect third-party accounts within each Project.
6. Third-Party Integrations
Claditly may integrate with third-party products and services, including advertising, analytics, storage, and reporting platforms.
Third-party integrations may require separate authorization.
You authorize Claditly to access third-party information only to the extent necessary to provide the requested integration and features.
Your use of third-party services remains subject to the applicable provider's own terms and policies.
Claditly is not responsible for third-party service availability, changes, suspensions, API limitations, or policy changes.
7. Google Ads Integration
If you connect Google Ads:
authorization occurs through Google's OAuth process
you must have appropriate authority over connected Google Ads accounts
you are responsible for selecting the accounts that Claditly may access
you must comply with Google Ads terms and applicable Google policies
Claditly may process Google Ads data necessary to provide requested functionality.
Claditly's use of the Google Ads API is subject to Google's applicable API terms and policies. Google Ads API terms require API clients and end users to comply with applicable laws and Google requirements.
Claditly may refuse, suspend, or disconnect a Google Ads integration where:
authorization has expired or been revoked
required security controls are missing
permissions are insufficient
Google requires the connection to be disabled
continued access would violate applicable rules.
9. Customer Data
As between you and Claditly, you retain your rights in data that you lawfully provide to or connect with the Service, subject to rights necessary for Claditly to provide the Service.
You grant Claditly a limited right to process customer data only as reasonably necessary to:
provide requested features
operate the Service
secure the Service
maintain reliability
comply with legal obligations
provide authorized support.
Claditly does not obtain ownership of your advertising accounts merely because you connect them.
10. Acceptable Use
You must not use Claditly to:
violate applicable law
access accounts without authorization
circumvent access controls
distribute malware
attempt to compromise the Service
interfere with other users
scrape or extract information through unauthorized means
bypass platform limits
misuse third-party APIs
impersonate another person or organization
use the Service for fraudulent purposes
attempt unauthorized access to another Tenant or Workspace.
11. API and Platform Limits
Third-party providers may impose:
API quotas

access levels
verification requirements
account restrictions
data availability limitations.
Claditly does not guarantee that third-party APIs will remain unchanged or continuously available.
Google Ads, for example, requires both OAuth credentials and a Google Ads Developer Token for API calls and may impose different access levels and limits.
12. Subscriptions and Fees
Certain Claditly functionality may require a paid subscription.
Applicable information may include:
plan
billing cycle
included features
usage limits
price
taxes
renewal terms.
The pricing displayed during purchase or subscription governs the applicable commercial terms unless otherwise agreed.

13. Automatic Renewal

You remain responsible for final advertising, financial, and business decisions.
22. Intellectual Property
Claditly and its licensors retain all rights in: software; interface; designs; trademarks; documentation; proprietary systems; platform technology.
These Terms do not transfer ownership of Claditly intellectual property.
23. Feedback
If you provide suggestions or product feedback, Claditly may use that feedback to improve the Service without obligation to compensate you, provided such use does not grant us ownership of your confidential customer data.
24. Confidentiality

Our intended security model does not provide routine permanent access by platform operators to customer Workspaces.

We may: add features; remove features; modify workflows; update APIs; change integrations; modify technical architecture.
Where a change materially affects paid functionality, we may provide notice where appropriate.

Continued use after applicable changes take effect constitutes acceptance where permitted by law.
28. Disclaimers

Claditly does not guarantee: uninterrupted operation; error-free operation; continued availability of third-party APIs; specific advertising outcomes; specific revenue or ROAS results; accuracy of third-party source data.

To the maximum extent permitted by applicable law, Claditly's liability will be limited as specified by applicable mandatory law and any commercial agreement governing the customer's subscription.
